Terms of Service

1. Acceptance of Terms

By accessing or using Vi Project Manager ("Vi", "the Service") at useviapp.com, you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, please do not use the Service.

These Terms apply to all users of the Service, including workspace owners, administrators, managers, members, and requesters. If you are using Vi on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

Vi is a cloud-based SaaS project management platform that provides task management, customizable workflow automation with approval chains, time tracking, team collaboration, multi-channel notifications (email, Telegram, webhook), and AI-assisted drafting features.

Vi is offered under a subscription model with Free, Pro ($5/user/month), and Business ($10/user/month, minimum 5 seats) plans. Feature availability depends on your active plan.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. For paid subscribers, we will provide reasonable advance notice of material changes.

3. Account Registration & Responsibilities

To use Vi, you must register for an account. By registering, you agree to:

• Provide accurate, current, and complete information during registration and keep it updated.
• Maintain the confidentiality of your password and account credentials.
• Promptly notify us at support@useviapp.com of any unauthorized use of your account.
• Be at least 18 years of age, or the legal age of majority in your jurisdiction.
• Not share your credentials or allow others to access your account.

You are responsible for all activity that occurs under your account. We are not liable for any loss or damage arising from your failure to maintain account security.

4. Plans, Billing & Payments

Subscription Plans. Vi offers three plans: Free (no charge, limited features), Pro ($5/user/month or $4/user/month billed annually), and Business ($10/user/month or $8/user/month billed annually; minimum 5 seats). Plan features and limits are described on our Pricing page.

Paddle — Merchant of Record. All payments for paid plans are processed by Paddle.com ("Paddle"), which acts as the Merchant of Record for all Vi transactions. When you purchase a subscription, you are entering into a transaction with Paddle. Paddle issues invoices, processes payments, and is responsible for collecting and remitting applicable sales tax, VAT, and GST on our behalf. Paddle's own Terms of Service and Privacy Policy also govern your purchase transaction.

Auto-Renewal. Paid subscriptions renew automatically at the end of each billing period (monthly or annual) unless cancelled before the renewal date. You can cancel at any time from Account Settings › Subscription. Cancellation stops future renewals; access continues until the end of the current paid period.

Free Trial. New paid-plan subscribers receive a 14-day free trial. No credit card is required to start the trial. If you do not cancel before the trial ends, you will be charged for the selected plan.

Upgrades & Downgrades. Upgrades take effect immediately with prorated billing. Downgrades take effect at the start of the next billing period.

Price Changes. We may change plan prices with at least 30 days' notice. Price changes take effect on your next renewal date.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights.
• Transmit malicious code, viruses, or software designed to damage systems.
• Gain unauthorized access to Vi, its infrastructure, or other users' accounts.
• Interfere with or disrupt the integrity or performance of the Service.
• Send unsolicited commercial communications (spam).
• Reverse-engineer, decompile, or extract source code from the Service.
• Resell, sublicense, or commercially exploit access to the Service without written authorization.
• Conduct denial-of-service attacks or automated scraping without permission.

We reserve the right to investigate and, where appropriate, take legal action against anyone who violates these provisions, including removing content and suspending or terminating accounts.

6. Intellectual Property

Your Content. You retain full ownership of all data, projects, tasks, and materials you create or upload to Vi ("Your Content"). By using the Service, you grant us a limited, non-exclusive, royalty-free license to host, store, transmit, and display Your Content solely as necessary to provide and operate the Service. We do not claim ownership of Your Content and will never use it for any purpose beyond operating Vi.

Our Intellectual Property. The Service, including its underlying software, design, user interface, trademarks, logos, and documentation, is the exclusive property of Vi and its licensors and is protected by applicable intellectual property laws. These Terms do not grant you any rights to use our intellectual property beyond what is expressly permitted.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF SECURITY VULNERABILITIES.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VI, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNTS PAID BY YOU TO VI IN THE THREE (3) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (USD $100).

Some jurisdictions do not allow exclusion of implied warranties or limitation of liability for incidental or consequential damages. In such jurisdictions, our liability is limited to the fullest extent permitted by law.

9. Suspension & Termination

We may suspend or terminate your access to the Service immediately, without prior notice or liability, if you breach these Terms or engage in conduct we determine, in our reasonable discretion, to be harmful to the Service, other users, or third parties.

You may delete your account at any time from Account Settings. Upon account deletion, your data will be removed in accordance with our Privacy Policy. We are not liable for any loss of data resulting from account deletion.

Paid subscribers who cancel their subscription retain access to paid features until the end of the current billing period. Thereafter, the account reverts to Free plan limits. No refund is issued for unused time in the current period unless covered by our Refund Policy.

10. Changes to These Terms

We may revise these Terms at any time. If we make material changes, we will notify you by email (at the address associated with your account) and/or by posting a prominent notice in the Service at least 14 days before the changes take effect.

Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of those changes. If you do not agree, please stop using the Service and cancel your subscription before the effective date.

11. Governing Law & Jurisdiction

These Terms of Service are governed by the laws of Turkey, without regard to its conflict-of-law provisions. Any dispute arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Istanbul, Turkey.
